End User License Agreement (EULA)

1. Introduction

This End User License Agreement (“EULA”) is a legal agreement between you (“User,” “you”) and KOOKOO BUSINESS PRIVATE LIMITED (“Company,” “we,” or “us”) governing your use of the mobile application KOOKOO (“App”) on iOS and Android platforms. By downloading, installing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree, do not use the App.

2. License Grant

• Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to:
  • Download, install, and use the App on a mobile device owned or controlled by you, solely for your personal, non-commercial use.
• All rights not expressly granted to you are reserved by the Company.

3. Restrictions

You agree not to:

• Copy, modify, or create derivative works of the App;
• Distribute, transfer, sublicense, lease, lend, or rent the App to third parties;
• Reverse engineer, decompile, or disassemble the App, except where permitted by applicable law;
• Use the App for unlawful or fraudulent purposes;
• Attempt to gain unauthorized access to the App, its servers, or connected networks.

4. Intellectual Property Rights

• All copyrights, trademarks, trade secrets, and other proprietary rights in and relating to the App are owned by KOOKOO BUSINESS PRIVATE LIMITED or its licensors.
• You acknowledge that no ownership rights are transferred to you under this EULA.

5. Updates & Modifications

• The Company may, from time to time, release updates, upgrades, or modifications to the App.
• Such updates may be installed automatically or may require your consent.
• Continued use of the App following updates constitutes acceptance of the revised terms.

6. Termination

This license is effective until terminated by you or the Company.

• You may terminate it by deleting the App and all copies from your device.
• The Company may terminate this EULA at any time without notice if you fail to comply with its terms. Upon termination, you must cease all use of the App and delete all copies.

7. Disclaimer of Warranties

• The App is provided on an “as is” and “as available” basis without warranties of any kind.
• The Company disclaims all express, implied, and statutory warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
• The Company does not warrant that the App will be error-free, secure, or uninterrupted.

8. Limitation of Liability

To the fullest extent permitted by law:

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• In no event shall the Company’s total liability exceed the amount you paid (if any) to download or use the App.

9. Indemnification

You agree to indemnify and hold harmless KOOKOO BUSINESS PRIVATE LIMITED, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, or expenses arising out of your use of the App or violation of this EULA.

10. Governing Law & Jurisdiction

• This EULA shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
• Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Junagadh, Gujarat, India.

11. App Store Terms

• You must comply with the applicable store’s terms and conditions.
• Apple Inc. and Google LLC are not responsible for the App, its contents, support, or for any claims related to your use of the App.
